Terms of Service

1. Overview
Designtide is a service provided by TechWings sp. z o.o., a company registered in Poland ("we", "us", or "our"). We provide an AI-powered creative design service through a per-project subscription model. By creating an account or starting a project, you agree to these Terms of Service in full. If you do not agree, do not use the platform.
2. Subscription Model
Our service operates on a per-project basis. When you create a project, you select a service type and subscribe to one of our plans: Spark, Growth, or Scale. Each project has its own independent subscription. You may run multiple projects simultaneously, each on a different plan tier.
Subscriptions are billed monthly from the date the project subscription begins. You are responsible for all charges incurred under your account.
3. Cancellation Policy
You may cancel a project subscription at any time before the next billing period. Cancellation takes effect at the end of the current billing cycle. You will retain access to the project and its deliverables until the end of the paid period.
To cancel, use the project settings in your Designtide dashboard. Cancellation requests must be submitted before the next billing date to avoid being charged for the following period.
4. No Refunds
All payments are non-refundable. We do not offer refunds or credits for any partial billing periods, unused hours, or unused capacity within a subscription period. This applies to all plans and all project types.
If you believe you have been charged in error, contact us within 7 days of the charge at support@designtide.co and we will investigate.
5. Deliverables and Revisions
All plans include unlimited revisions. We will continue iterating on deliverables until you are satisfied, within the scope of the original project brief. Requests that materially change the scope of a project may require a new project to be created.
First drafts are delivered within 48 hours of project kick-off for standard requests. Timelines for complex projects will be agreed upon before work begins.
6. Intellectual Property
All deliverables, creative works, designs, source files, and any other materials produced by Designtide for your project ("Work Product") are created as work-made-for-hire. Upon receipt of full payment for the applicable billing period, all intellectual property rights in the Work Product — including copyright, trademark rights, and any other proprietary rights — are irrevocably assigned to you. You become the sole and exclusive owner of all Work Product and may use, modify, reproduce, distribute, sublicense, or commercially exploit it without restriction and without additional compensation to Designtide.
To the extent any Work Product does not qualify as work-made-for-hire under applicable law, Designtide hereby assigns to you all right, title, and interest in and including all intellectual property rights therein. Designtide waives any moral rights in the Work Product to the fullest extent permitted by law.
This assignment applies to all deliverables regardless of format, medium, or stage of completion, including but not limited to: final designs, drafts, concepts, source files, vector files, animations, illustrations, brand assets, UI/UX designs, and any custom code or design systems created as part of your project.
Designtide retains no rights to the Work Product except a limited, non-exclusive right to display completed work in its portfolio and marketing materials, solely for the purpose of showcasing its capabilities. You may revoke this portfolio right at any time by notifying us in writing.
You retain full ownership of any materials, assets, brand guidelines, or content you provide to Designtide during the course of a project. Designtide will not use your proprietary materials for any purpose other than fulfilling your project.
Third-party assets: If any deliverable incorporates third-party stock assets (fonts, images, icons), Designtide will disclose this and ensure that appropriate commercial licenses are obtained or transferable to you. Any licensing fees for third-party assets are your responsibility unless otherwise agreed in writing.
7. Acceptable Use
You agree not to use Designtide's services to create content that is unlawful, defamatory, harassing, obscene, or infringing on third-party rights. We reserve the right to refuse or terminate a project at our discretion if submitted briefs violate these terms, without refund.
8. Limitation of Liability
To the maximum extent permitted by law, Designtide's total liability for any claim arising out of or relating to these terms or the service shall not exceed the amount paid by you in the three months preceding the claim.
We are not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the service.
9. Changes to Terms
We may update these Terms at any time. We will notify you of material changes via email or a notice on the platform at least 14 days before the changes take effect. Continued use of the service after that date constitutes acceptance of the updated Terms.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of Poland. Any disputes shall be subject to the exclusive jurisdiction of the courts competent for the registered seat of TechWings sp. z o.o.
